Offer: developer — agency
This document is a public offer from developers (the “Developer”) to real-estate agencies and individual agents (the “Agency”) on the terms of cooperation in selling apartments in new buildings through the Aurum Hills platform (the “Platform”), operated by [to be filled in]. Acceptance takes place on the Platform: by ticking the box at registration or pressing “Accept the terms”, and is equivalent to signing the agreement.
1. Definitions
- **Platform** — the Aurum Hills service (website https://aurumhills.am, developer cabinets and Aurum Partners) through which requests are passed, the chat is held and the history of work with the client is stored.
- **Booking** — the Agency's request to hold a specific apartment for a buyer, with the buyer's details.
- **Deal** — the work on a booking from its confirmation to the contract being signed by the parties.
- **Developer's terms** — the commission rate, the scale, the scale period, the booking period and other terms that the Developer publishes on the Platform. They are an integral part of this offer.
2. Subject
The Agency may select buyers and book the Developer's apartments through the Platform. The Developer pays the Agency a commission for deals carried out by the Agency in the manner described below.
3. Role of the Platform
- The Platform provides technical means: passing requests, chat, storing files and history, calculating the commission under the Developer's terms.
- The Platform is not a party to the sale-and-purchase contract or the commission agreement and neither receives nor pays money.
- The Platform does not guarantee that deals will be concluded and is not responsible for the parties' performance.
4. Developer's terms and changes
- The Developer's terms are published in the “Developers” section of Aurum Partners. The Agency accepts them separately for each Developer.
- On acceptance, the date, the version of the terms and the account that accepted are recorded.
- Changed terms are published as a new version. They apply to bookings confirmed after they are accepted; bookings confirmed earlier remain on the earlier terms.
- The Developer may suspend accepting bookings or close access for the Agency; deals already in progress are not terminated.
5. Booking and deal procedure
1. The Agency sends a booking request: the buyer's details (name, phone, email, passport number) and a passport scan.
2. The Developer checks the data and confirms the booking, asks for clarification in the chat, or declines the request with a reason.
3. A confirmed booking holds the apartment for the period stated in the Developer's terms; the Developer may extend it.
4. The parties exchange documents in the deal chat. The Developer sets the deal date and the contract price.
5. The signed contract is uploaded by both parties; after that the deal is considered closed.
6. The chat history, uploaded files and the parties' actions are kept on the Platform and serve as evidence of the course of work with the client.
6. Whose client it is
- The commission is received by the Agency that carried the deal from the booking request to the signing of the contract.
- One apartment is handled by one Agency at a time.
- If one buyer came through different agents, the Developer decides whom to continue with, based on the history on the Platform.
7. Commission
- The commission rate is determined by the scale in the Developer's terms: a tier is reached by the accumulated amount of the Agency's closed deals with the Developer over the period; the tier reached applies to the whole next deal.
- The percentage is fixed when the booking is confirmed. The calculation base is the contract price.
- The commission accrues when the deal closes and is paid by the Developer directly to the Agency in the manner and within the term stated in the Developer's terms.
- The Platform shows the accrual and provides data for the act; the Platform does not make payments.
8. Buyers' personal data
- The Agency confirms that it has the buyer's consent to pass their data to the Developer for the booking and passes only the necessary data.
- Passport data and documents are stored encrypted and are available only to the parties of the deal; opening of files is logged.
- 90 days after the deal ends, the buyer's passport and documents are deleted; the contract and the deal history are kept.
- The parties use the buyer's data only for the purposes of the deal.
9. Obligations of the parties
- The parties provide accurate information and reply promptly in the deal chat.
- The Developer keeps prices and availability up to date.
- The Agency does not pass access to third parties and does not use buyers' data outside the deal.
10. Liability
- Each party is responsible for the accuracy of its data and the performance of its obligations.
- Payment calculations on the Platform are informational; binding terms are determined by the contract with the Developer.
11. Term and termination
- The offer is valid indefinitely until withdrawn.
- The Agency may stop using the Platform at any time; the Developer may close access for the Agency. Confirmed deals are performed on the earlier terms.
12. Other terms
- Acceptance of the offer on the Platform is equivalent to signing in writing.
- The relationship of the parties is governed by the laws of the Republic of Armenia.
- Disputes are resolved by negotiation, and failing agreement, in court.
